Requirements for Formation and Registration of a Private Limited Company in China

1Proposed Company Name

The company name can only be Chinese or English, or Chinese and English.

2Shareholders' Personal Information

A photocopy of passport (biopage) of all shareholders and their residential addresses. If the shareholders are PRC residents, a copy of their PRC Identity Card or if the shareholders are Hong Kong residents, copies of the Mainland Travel Permits (Home Return Permits), shall be submitted in lieu of their passports.

If the shareholder is a corporation, please provide its company registration certificate and registered address.

3Director’s Personal Information

A photocopy of passport (biopage) of all directors and their residential addresses. If the directors are PRC residents, a copy of their PRC Identity Card or if the directors are Hong Kong residents, copies of the Mainland Travel Permits (Home Return Permits), shall be submitted in lieu of their passports.

If the director is a corporation, please provide its company registration certificate and registered address.

4Company Secretary’s Personal Information

A photocopy of the company secretary's Identity Card and address (if not using Accolade’s company secretarial services).

If the company secretary is a corporation, please provide the company registration certificate and registered address.

5Company Registered Address

The company’s registered address (if not using Accolade’s registered address service)

6The Company’s Legal Capital

The company’s legal capital, amount of issued capital and allocation of shares. Unless otherwise specified, the registered capital of the company shall be RMB100,000.
